These Terms & Conditions ("Terms") govern your use of asioson.com (the "Site") and the consulting and conversational-voice services provided by ASioson Consulting LLC ("ASioson Consulting," "we," "us," or "our"). Please read them together with our Privacy Policy.
1. Acceptance of these Terms
By accessing the Site, submitting an inquiry, opting in to text messages, or engaging us for services, you agree to these Terms. If you are acting on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Site or Services.
2. Our services
ASioson Consulting provides technology consulting focused on assessing legacy interactive voice response (IVR) systems and designing, building, and operating AI-driven conversational voice agents for business clients. The specific scope, deliverables, fees, and timeline for any engagement are set out in a separate written statement of work or services agreement, which controls in the event of conflict with these Terms.
3. SMS / text messaging program terms
Program name: ASioson Consulting LLC service notifications.
Program description: Transactional text messages related to services you have requested from ASioson Consulting LLC — appointment and callback reminders, payment confirmations, and links to call transcripts. We do not send marketing or promotional text messages under this program.
Message frequency: Varies based on your activity with us. Messages are recurring only while you have an active inquiry or engagement.
Cost: Message and data rates may apply. Check with your wireless carrier for details.
Opt out: Reply STOP at any time.

3.1 How you opt in
You consent to receive text messages from ASioson Consulting LLC by (a) checking the SMS consent box and providing your mobile phone number on the inquiry form at asioson.com/#contact, or (b) verbally agreeing to receive text messages during a phone call with us. Providing a mobile number is optional. Consent to receive text messages is not a condition of purchasing any goods or services. Consent applies only to this program and is not transferred to any other program or organization.
After you opt in, you will receive a confirmation message similar to: "ASioson Consulting LLC: You're opted in to service notifications (reminders, payment confirmations, transcript links). Msg frequency varies. Msg & data rates may apply. Reply HELP for help, STOP to cancel."
3.2 How to opt out
You can cancel at any time by replying STOP (or UNSUBSCRIBE, CANCEL, END, or QUIT) to any message from us. You will receive one final message confirming that you have been unsubscribed, similar to: "ASioson Consulting LLC: You have been unsubscribed and will receive no further messages. Reply START to re-subscribe or email [email protected]." After that, we will not send further text messages unless you opt in again. You may also opt out by emailing [email protected].
3.3 Help and support
Reply HELP to any message for assistance. You will receive a response similar to: "ASioson Consulting LLC: For help, email [email protected] or call (209) 854-4025. Msg & data rates may apply. Reply STOP to cancel."
3.4 Carriers and delivery
Messages are sent from a 10-digit long code number owned by ASioson Consulting LLC. Supported carriers include AT&T, T-Mobile, Verizon, and most other U.S. carriers. Carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission from your network operator and may not be available in all areas.
3.5 Your obligations
You represent that you are the account holder or an authorized user of the mobile number you provide, that you are at least 18 years old, and that you will notify us at [email protected] if you change or deactivate that number.
3.6 Privacy of mobile information
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties, except for subcontractors (such as our SMS delivery provider) that support the program on our behalf. 4. Acceptable use of the Site
You agree not to: use the Site in violation of any law; attempt to gain unauthorized access to our systems or data; interfere with the Site's operation; scrape or harvest information from the Site without permission; submit false or misleading information; or use the Site to send unsolicited communications.
5. Intellectual property
The Site and its content — text, design, graphics, logos, and code — are owned by ASioson Consulting LLC or its licensors and protected by copyright, trademark, and other laws. You may view and print pages for your own informational use. Any other use requires our prior written permission. "ASioson Consulting" and the ASioson mark are trademarks of ASioson Consulting LLC. Third-party names and marks (including Twilio) belong to their respective owners and are used for identification only.
6. Consulting engagements
- Scope and changes. Work is performed under a written statement of work. Changes to scope require written agreement and may affect fees and timeline.
- Fees and payment. Invoices are due as stated in the statement of work; late amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law.
- Client responsibilities. You are responsible for providing timely access, information, and approvals; for the accuracy of materials you supply; and for obtaining any consents required for us to process caller data on your behalf.
- Deliverables. Unless the statement of work says otherwise, you own the custom deliverables created for you upon full payment, and we retain ownership of our pre-existing tools, know-how, and generic components, which we license to you for use with the deliverables.
- Confidentiality. Each party will protect the other's non-public information with at least reasonable care and use it only for the engagement.
- Regulatory compliance. You are responsible for compliance of your own messaging and calling programs with applicable law (including the TCPA, CAN-SPAM, and carrier requirements) and for obtaining all required consents from your customers. We will build in industry best practices, but we do not provide legal advice.
7. Third-party services
Our Services rely on third-party platforms such as telephony carriers, speech-recognition and language-model providers, and messaging platforms. Those services are governed by their own terms, and we are not responsible for their availability, changes, or actions. Links from the Site to other websites are provided for convenience only.
8. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. Warranties for consulting services, if any, are set out exclusively in the applicable statement of work.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ASIOSON CONSULTING LLC AND ITS MEMBERS, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS. OUR TOTAL LIABILITY ARISING OUT OF THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Liability for consulting services is governed by the applicable statement of work. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless ASioson Consulting LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of law, or your misuse of the Site or Services.
11. Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or the Site will be brought exclusively in the state or federal courts located in San Joaquin County, California, and you consent to their jurisdiction. Before filing a claim, each party agrees to attempt in good faith to resolve the dispute informally by contacting the other party for at least 30 days.
12. General
These Terms, together with the Privacy Policy and any statement of work, are the entire agreement between you and us regarding the Site. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may update these Terms by posting a revised version with a new "Last updated" date; continued use of the Site after changes constitutes acceptance.
